Wing Snob reserves the right to investigate any suspected violations of these Terms and to take appropriate legal or administrative action, including terminating your account, refusing service, and reporting violations to law enforcement authorities.

5.1 Order Placement

Wing Snob reserves the right to accept or decline any order at its sole discretion. WING SNOB EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE;
• WARRANTIES OF TITLE OR NON-INFRINGEMENT;
• WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FEDERAL AND STATE LAW, INCLUDING THE LAWS OF THE STATE IN WHICH WING SNOB OPERATES, WING SNOB, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
• DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES;
• DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES;
• DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
• DAMAGES ARISING FROM ERRORS, OMISSIONS, OR INACCURACIES IN ANY CONTENT OR INFORMATION ON THE SITE;
• DAMAGES ARISING FROM FOOD ALLERGIC REACTIONS WHERE ALLERGEN INFORMATION WAS DISCLOSED OR REASONABLY AVAILABLE;
• DAMAGES ARISING FROM THIRD-PARTY CONDUCT OR CONTENT.

IN ALL CASES, THE AGGREGATE LIABILITY OF WING SNOB TO YOU FOR ANY CLAIMS ARISING UNDER OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO WING SNOB IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY APPLICABLE STATE LAW.

10. Indemnification

You agree to defend, indemnify, and hold harmless Wing Snob, its owners, officers, directors, employees, agents, contractors, licensors, affiliates, and successors from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your use of or access to the Site or Services;
• Your violation of any provision of these Terms;
• Your violation of any applicable federal, state, or local law, regulation, or third-party right;
• Any content or information you submit, post, or transmit through the Site;
• Any fraudulent, negligent, or willful misconduct on your part;

Wing Snob reserves the right, at your expense, to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with Wing Snob in asserting any available defenses.

These Terms of Service and any dispute or claim arising out of or in connection with them, including their validity, enforceability, interpretation, breach, or termination, shall be governed by and construed in accordance with the laws of the United States of America and applicable state law, without regard to any conflicts of law principles that would require application of the laws of another jurisdiction.

To the extent that any dispute is not subject to arbitration as set forth in Section 13 below, or to the extent that arbitration is found to be inapplicable or unenforceable, you consent to the exclusive jurisdiction and venue of the federal and state courts located in the United States in the state where Wing Snob is registered and operates. You hereby waive any objection to such jurisdiction or venue on the grounds of inconvenient forum or otherwise.

Notwithstanding any other provision of these Terms, Wing Snob reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of its intellectual property rights or other proprietary rights.

13. Dispute Resolution and Arbitration

13.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services (collectively, "Dispute") informally by contacting Wing Snob at [email protected]. Wing Snob will attempt to resolve the Dispute informally by contacting you via the email address associated with your account or order. If the Dispute is not resolved within thirty (30) calendar days of informal notice, either party may proceed to formal dispute resolution as set forth below.

13.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS AND PROVIDES THAT DISPUTES WILL BE RESOLVED BY BINDING ARBITRATION RATHER THAN IN COURT.

Except as set forth below, you and Wing Snob agree that any Dispute shall be finally and exclusively resolved by binding individual arbitration under the rules of the American Arbitration Association (AAA) or JAMS, as mutually agreed. The arbitration shall take place in the United States, in the state where Wing Snob is located, or at such other location as mutually agreed by the parties. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

13.3 Class Action Waiver

YOU AND WING SNOB AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, CLASS ARBITRATION, CONSOLIDATED PROCEEDING, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.

13.4 Exceptions to Arbitration

Notwithstanding the above, either party may bring an individual action in small claims court in the appropriate jurisdiction. Additionally, claims related to the infringement or misappropriation of Wing Snob's intellectual property rights may be pursued in a court of law.

14. Term and Termination

These Terms are effective from the moment you first access or use the Site and shall remain in full force and effect for as long as you continue to access or use the Site or Services, unless earlier terminated in accordance with these Terms.

Wing Snob reserves the right, in its sole discretion, to:

• Suspend or terminate your access to the Site or Services at any time, with or without cause, and with or without prior notice;
• Refuse service to any person or entity for any reason not prohibited by applicable law;
• Delete your account and any associated data in accordance with our Privacy Policy and applicable law.

Grounds for termination may include, without limitation, violation of these Terms, fraudulent activity, chargebacks, abusive behavior toward Wing Snob staff or other users, or conduct that Wing Snob reasonably believes may expose it to legal liability.

Upon termination, your right to use the Site and Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.

You may terminate your account at any time by contacting us at [email protected]. Termination of your account does not relieve you of any obligations incurred prior to termination, including outstanding payment obligations.

15. Changes to Terms

Wing Snob reserves the right to modify, amend, update, or replace these Terms at any time at its sole discretion. When we make material changes, we will:

• Post the revised Terms on the Site at wingsnob-bbq.click;
• Provide notice through the Site, via email, or through other reasonable means where practicable.

Your continued access to or use of the Site or Services after the effective date of any revised Terms constitutes your acceptance of and agreement to the revised Terms. 16. Severability

If any provision of these Terms is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, void, unenforceable, or contrary to applicable law, such provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable. If modification is not possible, the provision shall be severed from these Terms. The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of any remaining provisions, which shall continue in full force and effect.

The parties intend for these Terms to be enforced to the fullest extent permissible by law, and they agree that courts or arbitrators should give effect to the parties' intent as reflected in the balance of these Terms notwithstanding any invalid or unenforceable provision.

17. Waiver

The failure of Wing Snob to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term. Any waiver must be in writing and signed by an authorized representative of Wing Snob to be effective.

18. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices or agreements published by Wing Snob on the Site, constitute the entire agreement between you and Wing Snob with respect to the subject matter herein and supersede all prior and contemporaneous agreements, negotiations, representations, and understandings, whether written or oral, between the parties regarding such subject matter.

No oral explanations or oral information given by any party to the other shall alter the interpretation of these Terms. In the event of a conflict between these Terms and any other agreement you may have with Wing Snob, these Terms shall prevail unless the other agreement explicitly and specifically states that it supersedes these Terms.

19. Force Majeure

Wing Snob shall not be liable for any delay or failure to perform its obligations under these Terms to the extent such delay or failure is caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions or restrictions, civil disturbances, strikes, supply chain disruptions, power outages, internet or telecommunications failures, or other unforeseen events. In such cases, Wing Snob will use commercially reasonable efforts to resume performance as soon as practicable.

20. Electronic Communications and Consent

By using the Site and Services, you consent to receive electronic communications from Wing Snob, including order confirmations, receipts, account notices, and other information relating to your use of the Services. You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.

Marketing communications from Wing Snob are subject to your consent in accordance with applicable law. You may opt out of marketing emails at any time by using the unsubscribe link in the email or by contacting us at [email protected]. Opting out of marketing communications does not affect transactional communications related to your orders or account.
